Why Zvi Schreiber Wants Chairman Udo Lange Out at Freightos
Zvi Schreiber, founder of cargo booking platform Freightos, has opened a shareholder campaign to replace Chairman Udo Lange and install a chair with a technology-growth background. In an online registry, Schreiber points to a 62% drop in Freightos's share price during Lange's time and urges a return to aggressive growth of the digital freight platform.
Schreiber launched Freightos in 2012 and led it for 14 years. He now holds about 6.1% of shares outstanding and wants directors' terms shortened from three years to one year, arguing that shorter terms would give shareholders more frequent accountability. Lange joined the Freightos board in 2019 and became non-executive chairman in July 2025. Before that, he spent eight years at FedEx, including as CEO of FedEx Logistics, and now leads Stolt-Nielsen. FedEx is also a Freightos shareholder.
Freightos listed on Nasdaq under the ticker CRGO through a SPAC in January 2023. Shares peaked above $31 on the first day of trading but closed at $1.27 on September 8. Schreiber says the company is best positioned to digitize international freight, describing the strategy as making Freightos the Booking.com of global logistics, but he adds that the lead is slipping. Freightos said it is aware of the proposals and will evaluate them according to its governing documents while management remains focused on operational strategy.
What the Freightos Board Fight Reveals About Its Growth Problem
The Gap Between Freightos's Debut Price and Its Market Value
Freightos's first-day intraday high above $31 compares starkly with its $1.27 close on September 8. The decline is a verified market fact, but it does not by itself prove that the chairman caused it. SPAC-era growth stocks were broadly repriced, and a young digital platform still has to prove it can convert freight transactions into durable revenue. Schreiber is using the scale of the fall as a measurable argument for board failure, while the company points only to its long-term value strategy.
Lange's Logistics Record Versus the Founder's Tech-Growth Demand
Schreiber's petition is specifically for a new chairman with a technology-growth background. Lange's career is operational: CEO of FedEx Logistics and now CEO of Stolt-Nielsen, a bulk liquid and chemical logistics group. That is the real strategic dispute. Schreiber is arguing that Freightos's problem is platform adoption and technology-led expansion, not freight operations. Whether the board accepts that diagnosis will determine whether the company pivots toward a software-growth chair or keeps an operator at the top.
The Founder's 6.1% Stake and the Shareholder Math
With roughly 6.1% of shares, Schreiber cannot force change alone. He is asking other shareholders to register support so he can build a voting bloc when the moment comes. The proposal to shorten director terms from three years to one is the structural lever: it would make the full board accountable far more often. The campaign's success will depend on whether institutional investors, and possibly shareholder FedEx, treat Schreiber's diagnosis as credible.
Why the Talent Retention Claim Is Hard to Assess
Schreiber says Freightos needs a team rebuilt around a strategy worth staying for to stem an exodus of senior talent. The public registry does not name the departed executives or quantify the departures, so this part of the case remains uncertain. If the exits are as serious as the founder suggests, they would be a direct threat to platform development. If they are isolated, the board fight may look more like a governance dispute than a company in operational crisis.
What the Freightos Governance Contest Means for Shareholders
- Judge the contest through the company's next step. Freightos said it will evaluate the proposals in due course. The concrete catalyst is whether the board supports, amends or rejects the request for a tech-growth chair and one-year terms before any shareholder vote is scheduled.
- Test the founder's growth argument against the chairman's operational record. Shareholders can look for whether Freightos responds to the petition with a visible retention plan or senior technology hires, rather than relying only on the 62% share-price figure as proof.
- Treat the one-year term proposal as a governance lever. If director terms move from three years to one, each annual meeting becomes a real vote on platform execution, giving shareholders a repeat opportunity to back either the founder's slate or the incumbent board.
Risk & Opportunity Assessment
| Commercial Risk | Medium | A public board fight and alleged senior talent departures risk disrupting execution at a digital freight platform whose shares have already fallen to $1.27. |
| Competitive Risk | High | Schreiber's petition states that Freightos's digital lead is slipping while senior talent is leaving; in a platform market, that combination creates a real risk of rivals pulling ahead. |
| Regulatory Risk | Low | No new regulatory action is identified; the proposals concern board terms and governance of a Nasdaq-listed company. |
| Reputation Risk | Medium | A public founder-chairman dispute and talent churn claims can unsettle customers, employees and shareholders of a company pitching itself as the Booking.com of logistics. |
| Technology Disruption | Medium | Freightos is itself a digital disruptor in cargo booking, but the founder argues it is falling behind on platform growth, increasing exposure to faster-moving digital rivals. |
| Commercial Opportunity | Medium | A board reset with a technology-growth chair and stronger retention could refocus Freightos on digital freight adoption, but it depends on winning shareholder support and improving execution. |
